DISTANCE SELLING CONTRACT
(prepared pursuant to Legislative Decree No 21 of 21 February 2014)
1 - FOREWORD
This contract is entered into between SOCIETÀ AGRICOLA TENUTA DIPAL SRL, C.da San Domenico Snc, 85034 Francavilla in Sinni (PZ) (hereinafter: "TENUTA DIPAL") - and the final consumer (hereinafter: "Customer") and is configured as a distance contract. It is governed by Legislative Decree 21 February 2014, no. 21, implementing Directive 2011/83/EU on consumer rights and has as its object the sale of movable goods (wine, food and gifts).
By this contract, SOCIETÀ AGRICOLA TENUTA DIPAL SRL transfers or undertakes to transfer ownership of these goods to the Customer and the Customer pays or undertakes to pay the price.

Purchasable goods are presented on the website, in printed or electronic catalogues and by e-mail.
Please note that SOCIETÀ AGRICOLA TENUTA DIPAL SRL intends to serve exclusively the final consumer, to whom all products on sale are destined.
Persons with a VAT number who wish to receive an invoice must make a request, indicating their references, when placing the order.
2 - HOW TO ORDER
Internet site www.tenutapadi.it
The customer must register on www.tenutapadi.it by providing, truthfully and completely, all the data requested in the registration form and accept the privacy policy in full and these Conditions of Sale. SOCIETÀ AGRICOLA TENUTA DIPAL SRL has no visibility over the access credentials of its Customers, who are therefore responsible for their safekeeping.
The customer can then add the desired products to their shopping cart. It is possible to correct errors or change the content of the basket by accessing the basket, before the final step that concludes the order. After selecting the products, the customer will see the content of the shopping cart and the amount to be paid, with the possibility of updating and/or modifying it.
Then, the customer will proceed, by clicking on the appropriate button, to fill in a form with the necessary information for invoicing (if requested by the customer), payment and delivery. Finally, the shopping cart and the amount to be paid will be displayed again. The sales contract shall only be deemed finalised when the Customer has accepted the terms and conditions of the contract by clicking on the 'Order and Pay' button. If the Customer does not accept the conditions of sale and/or does not confirm acceptance of the contract by clicking on the 'Order and pay' button, the sales contract will not be deemed to be finalised and the Customer will not be able to receive the order placed. In this case, SOCIETÀ AGRICOLA TENUTA DIPAL SRL will not send the products present in the basket nor will it charge the Customer the amount resulting from the summary of their basket. The Customer will in any case receive an e-mail from SOCIETÀ AGRICOLA TENUTA DIPAL SRL confirming that the order has been taken care of, sent to the e-mail address communicated by the Customer when placing the order.
By adhering to the General Terms and Conditions, the User declares that he/she is at least 18 years old and has the capacity to act.
3 - PRODUCT DESCRIPTION, FEATURES AND PRICES
The characteristics and description of the products on sale are indicated in the printed and electronic (on-line) catalogues next to the individual product or, in the case of the Internet site, also via a link.
In the case of products whose purchase is solicited by telephone calls from SOCIETÀ AGRICOLA TENUTA DIPAL SRL or by teleshopping, their description, characteristics and prices are detailed by the telephone operator. In the case of teleshopping, they are also presented by the television promoter.
The prices of goods are presented on printed promotional material and on the site, inclusive of VAT and any other taxes. The duration of promotions and offers is indicated in correspondence with the product or offer to which it refers, as are the prices applied.
Any additional charges, where applicable, are indicated under the product to which they apply.
Replacement of an out-of-stock item within a package will be made with an alternative item of the same value; in the event of an entire package being out-of-stock, SOCIETÀ AGRICOLA TENUTA DIPAL SRL will contact the Customer.
4 - SHIPPING COSTS
Shipping costs consist of a variable contribution depending on the number of products purchased for each delivery within the national territory to the same recipient. For Internet orders, the amount is always indicated and visible during the purchase process. For telephone orders, the amount of the contribution for delivery costs is repeated by telephone.

Italy: Delivery is usually within 2-4 working days after order confirmation.
European Union: Delivery generally takes place within 5-7 working days after order confirmation.

- For orders with significant weight or volume, the shipping cost may be recalculated after the order has been confirmed. In this case, the customer will be contacted to approve any additional costs before shipment.

It should be noted that SOCIETÀ AGRICOLA TENUTA DIPAL SRL will not, in relation to the aforementioned payment cards, impose charges on Customers for their use, or in the cases expressly stipulated, charges that exceed those incurred by SOCIETÀ AGRICOLA TENUTA DIPAL SRL itself.
Mark
For those who prefer to pay on delivery, we offer a cash on delivery service. For an additional charge of 3 €, you can pay directly to the courier upon receipt of the goods. This option is only available for shipments within Italy.

6 - DELIVERY TERMS AND LIABILITY
SOCIETÀ AGRICOLA TENUTA DIPAL SRL , in compliance with art. 61, legislative decree 21/2014, Saturdays and Sundays and/or other public holidays are not included in the calculation of days (by way of example, an order placed on a Friday or the day preceding a public holiday will be processed on the first working day). Delivery shall be deemed to have been made when the ordered goods are in the possession of the Customer or the person he has delegated to collect them. In the event that these terms cannot be met (e.g.: products not in stock), SOCIETÀ AGRICOLA TENUTA DIPAL SRL undertakes to notify the Customer in the most timely manner to inform him/her when the goods can be delivered. In this case, the price will only be charged to the Customer upon actual delivery of the products ordered.
Although Article 63, d. lgs. 21/2014 establishes that if the products are lost or damaged, due to causes not attributable to SOCIETÀ AGRICOLA TENUTA DIPAL SRL , the resulting risk is transferred to the Customer only when the latter, or a third party designated by him/her and different from the carrier materially takes possession of the goods, SOCIETÀ AGRICOLA TENUTA DIPAL SRL guarantees the replacement of damaged products at no charge to the Customer, notifying Customer Service SOCIETÀ AGRICOLA TENUTA DIPAL SRL, C.da San Domenico Snc, 85034 Francavilla in Sinni (PZ), within 48 hours of receiving the same.
7 - UNSOLICITED SUPPLIES
Unless the Customer agrees, to be expressed prior to or at the time of concluding the contract, SOCIETÀ AGRICOLA TENUTA DIPAL SRL shall make no supplies other than those agreed upon, even if they are of equivalent or higher value and quality.
If the Customer receives an unsolicited supply, he/she shall notify the Customer Service SOCIETÀ AGRICOLA TENUTA DIPAL SRL, C.da San Domenico Snc, 85034 Francavilla in Sinni (PZ), so that TENUTA DIPAL SRL may withdraw said supply and reimburse the Customer for any sum already paid.
8 - RIGHT OF WITHDRAWAL
Although art. 52, legislative decree 21/2014 allows the Customer to exercise the right of withdrawal (i.e. the right to return the goods, for whatever reason and without justification and without any charge to him/her) after n. 14 (fourteen) days from the delivery of the goods, SOCIETÀ AGRICOLA TENUTA DIPAL SRL grants the Customer the broader term of n. 14 (fourteen) days from the delivery of the goods. Therefore, the Customer may exercise the right of withdrawal within no more than 14 (fourteen) days of taking possession of the goods ordered by simply notifying SOCIETÀ AGRICOLA TENUTA DIPAL SRL. The right of withdrawal may be exercised in the following ways:
- submit an explicit statement of your decision to withdraw from the contract by e-mail to: info@tenutapadi.it;
- submit an explicit statement of your decision to withdraw from the contract by ordinary mail to SOCIETÀ AGRICOLA TENUTA DIPAL SRL, C.da San Domenico Snc, 85034 Francavilla in Sinni (PZ);
Collection of the goods from the Customer is at the Customer's expense.
In the event of withdrawal, all obligations on the part of SOCIETÀ AGRICOLA TENUTA DIPAL SRL and the Customer lapse. In particular, SOCIETÀ AGRICOLA TENUTA DIPAL SRL will reimburse the Customer for the cost of the products ordered, including delivery charges, within 14 (fourteen) days of being informed by the Customer that he/she wishes to exercise the right of withdrawal. SOCIETÀ AGRICOLA TENUTA DIPAL SRLwill reimburse the Customer with the same instrument used by the Customer to pay for the order, except as otherwise agreed between the parties.
To report any anomalies or malfunctions or to receive assistance on products that do not conform to the order, the Customer may contact the Customer Service of SOCIETÀ AGRICOLA TENUTA DIPAL SRL at the addresses indicated in point 1 of this paragraph.
9. APPLICABLE LAW
The sales contract between the Customer and SOCIETÀ AGRICOLA TENUTA DIPAL SRL is concluded in Italy and governed by Italian law. For the solution of civil and criminal disputes arising from the conclusion of this distance sales contract, if the Customer is a consumer, the territorial jurisdiction is that of the court of reference in his or her municipality of residence; in all other cases, the territorial jurisdiction is exclusively that of the Court of Lagonegro (PZ).
10. ALTERNATIVE REMEDIES TO JUDGMENT
The possibility of alternative dispute resolution remedies is noted.

11.2 - ADR: "According to Article 49(1)(V) of Legislative Decree No 206 of 6 September 2005 (Consumer Code), the customer may have recourse to the Joint Conciliation procedure.
The Procedure may be initiated if the consumer, after having complained to the company within 45 days, has not received a reply or has received a reply that is not satisfactory to him.
